Terms of Service

1. Introduction

These Terms of Service ("Terms") govern access to and use of the Refurnish website and marketplace platform (the "Platform"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.

2. Definitions

In these Terms, “Refurnish”, “we”, “us”, or “our” means Refurnish-UK LTD, a company registered in England and Wales (company number 17018753) and operating from the United Kingdom. A "User" is any individual who accesses or uses the Platform. A "Buyer" is a User who purchases an Item through the Platform, and a "Seller" is a User who lists or sells an Item. An "Item" means any item listed on the Platform, and a "Transaction" means a purchase of an Item between a Buyer and a Seller facilitated via the Platform.

3. Role of Refurnish

Refurnish operates as an online marketplace that enables Buyers and Sellers to connect and enter into Transactions. Refurnish provides the Platform only and acts solely as an intermediary. Refurnish is not a party to Transactions between Users and does not buy, sell, inspect, own, store, or take possession of Items listed on the Platform.

4. Eligibility and account registration

To use the Platform, Users must create an account and provide accurate, complete, and up-to-date information. Users are responsible for maintaining the confidentiality of their account credentials and for all activity conducted through their account. Refurnish reserves the right to suspend or terminate accounts that breach these Terms.

5. Listings and Seller obligations

Sellers are responsible for ensuring that listings are accurate, complete, and not misleading, and that they have the legal right to sell the listed Items. Items must correspond to their descriptions and images and may be second-hand or otherwise. Sellers are solely responsible for the condition, safety, packaging, and lawful sale of their Items and for compliance with applicable laws and regulations.

6. Buyer obligations

Buyers are responsible for reviewing listings carefully prior to purchase. Except as expressly stated in these Terms, all purchases made through the Platform are final and non-returnable. Buyers acknowledge that Items may show signs of use consistent with their description.

7. Transactions between Users

When a Buyer purchases an Item through the Platform, a legally binding agreement is formed directly between the Buyer and the Seller. Refurnish is not a party to this agreement and does not guarantee the performance, conduct, or obligations of any User.

8. Payments, fees, and payouts

All payments are processed securely through Stripe. Buyer payments may be authorised and held temporarily before being released to the Seller. Refurnish charges a platform service fee, which is automatically deducted at checkout and is non-refundable unless otherwise required by law. Seller payouts are issued only after delivery or collection has been completed and the applicable dispute period has passed. Refurnish may delay, suspend, or withhold payouts where a dispute has been raised, where a Transaction appears to breach these Terms, or where required to comply with legal or payment-provider obligations.

9. Delivery and collection

Items may be delivered or collected in person, depending on the option selected at checkout. Sellers are responsible for preparing Items for delivery or collection as agreed. Refurnish is not responsible for delays, loss, or damage caused by third-party delivery providers, except where required by law.

10. Disputes and resolution

Buyers may raise a dispute within 48 hours of delivery or collection if an Item is materially not as described or has been damaged in transit. Refurnish may review disputes on a case-by-case basis, request additional information from either party, and make a final determination for the purposes of resolving disputes on the Platform, including whether to release or withhold Seller payouts.

11. Off-platform transactions

Users must not attempt to complete Transactions outside of the Platform. Transactions conducted off-platform are not supported, monitored, or protected by Refurnish, and Refurnish reserves the right to suspend or terminate accounts that attempt to bypass the Platform.

12. Acceptable use

Users must not misuse the Platform, provide false or misleading information, infringe intellectual property rights, or engage in unlawful or prohibited activity.

13. Limitation of liability

Refurnish does not guarantee the quality, safety, legality, or accuracy of listings or User conduct. To the fullest extent permitted by law, Refurnish shall not be liable for indirect, incidental, or consequential losses, and total liability is limited to the platform fees paid by the User in the twelve months preceding the claim.

14. Changes to these Terms

Refurnish may amend these Terms from time to time. Continued use of the Platform constitutes acceptance of the updated Terms.

15. Governing law

These Terms are governed by and construed in accordance with the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
